Terms of Service

Please read these terms carefully before using ShieldWeb. By creating an account you agree to be bound by these terms.

1. Acceptance of terms

By accessing or using ShieldWeb ("Service", "we", "us"), you agree to these Terms of Service and our Privacy Policy. If you do not agree, do not use the Service.

These terms constitute a binding agreement between you (or the organisation you represent) and ShieldWeb. If you are accepting on behalf of an organisation, you represent that you have the authority to do so.

2. Description of service

ShieldWeb provides a team VPN and private network service built on the WireGuard protocol, hosted on servers physically located in Switzerland. The Service includes:

The Service is provided on a subscription basis with a free trial period as described below.

3. Accounts and eligibility

Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. Use of the Service for personal consumer purposes (as opposed to business or professional use) is permitted but the Service is primarily designed for teams and organisations.

Account security

You are responsible for maintaining the confidentiality of your account credentials. You must notify us immediately at support@shieldweb.online if you suspect unauthorised access to your account. We are not liable for any loss resulting from unauthorised account access due to your failure to secure credentials.

Accurate information

You agree to provide accurate and complete information when creating your account and to keep it up to date.

One account per user

Each user may maintain one account. Creating multiple accounts to abuse the free trial or any promotional offer is prohibited.

4. Billing and payments

Payment processing: All payments are processed by Creem (Creem.io Ltd), our authorised reseller and Merchant of Record. Creem handles all payment processing, invoicing, and tax compliance. When you purchase a subscription, your contract for payment is with Creem.

Subscription plans

Subscriptions are billed monthly or annually depending on your chosen plan. Prices are displayed in USD and may vary by region. All prices are exclusive of applicable taxes, which Creem calculates and collects.

Automatic renewal

Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date. You authorise Creem to charge your payment method on each renewal date.

Price changes

We reserve the right to change subscription prices. You will be notified at least 30 days before any price change takes effect. Continued use of the Service after the price change constitutes acceptance of the new price.

Failed payments

If a payment fails, Creem will retry the charge. If payment remains unsuccessful after retries, your account may be suspended or downgraded. You will be notified by email.

Invoices

Invoices are issued by Creem and available in your Creem billing portal. For VAT invoices and tax receipts, contact Creem support directly.

5. Free trial

New accounts receive a 7-day free trial of the Service. No credit card is required to start the trial.

You agree not to use the Service to:

We reserve the right to suspend or terminate accounts that violate this policy, with or without notice, at our sole discretion.

7. Data and privacy

Our collection and use of your data is governed by our Privacy Policy, incorporated herein by reference.

8. Intellectual property

The Service, including its software, design, trademarks, and content, is owned by ShieldWeb and protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to use the Service for your internal business purposes during your subscription period.

You may not copy, modify, distribute, sell, or sublicense any part of the Service. Feedback and suggestions you provide may be used by us without obligation to you.

ShieldWeb is built on open-source components including WireGuard® (licensed under GPLv2) and AdGuard (licensed under GPL). WireGuard® is a registered trademark of Jason A. Donenfeld.

9. Service availability

We strive to maintain high availability but the Service is provided "as is" and "as available" without warranty of uninterrupted access. We do not guarantee that the Service will be error-free or available 100% of the time.

Planned maintenance will be announced in advance where possible. Emergency maintenance may occur without advance notice. You can check current Service status at https://hub.shieldweb.online/?page=status.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time. In the event of permanent discontinuation of the Service, we will provide at least 30 days' notice and offer a pro-rata refund for unused prepaid subscription periods.

10. Limitation of liability

To the maximum extent permitted by applicable law:

Some jurisdictions do not allow limitations on implied warranties or liability, so the above limitations may not apply to you in full.

Nothing in these terms limits liability for fraud, gross negligence, or wilful misconduct, or any liability that cannot be limited under applicable law.

11. Termination

By you

You may cancel your subscription at any time through the billing portal or by contacting us. Cancellation takes effect at the end of the current billing period. See our Refund Policy for details on refunds upon cancellation.

By us

We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or if required by law. We may also terminate with 30 days' notice for any other reason, in which case a pro-rata refund of unused prepaid fees will be issued.

Effect of termination

Upon termination, your access to the Service will cease. Your data will be deleted in accordance with our Privacy Policy (typically within 30 days). You remain responsible for any charges incurred prior to termination.

12. Changes to terms

We may update these Terms from time to time. We will notify you of material changes by email or by displaying a notice in the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

If you do not agree to the updated Terms, you must stop using the Service and cancel your subscription before the effective date.

13. Governing law and disputes

These Terms are governed by and construed in accordance with the laws of Switzerland, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Zürich, Switzerland. If you are a consumer in the EU, you may also have the right to bring proceedings in the courts of your country of residence.
